for International Science and Technology Cooperation
(This Statutes was first adopted on March 16, 1992 when the association was formally established. At the 5th Session of the 2nd General Assembly of the Council held on January 28, some revisions were made by following the sample Statutes for non-government organizations provided by the Ministry of Civil Affairs. Further slight revisions were made at the 3rd Session of the 3rd Meeting of the Standing Committee of the Council. The revised version was reviewed at the 5th Session of the 3rd General Assembly held on March 1, 2005 and was adopted at the 4th General Assembly held on 26 September 2006.)
Chapter 1 General Provisions
Article 1 Name
This association is named China Association for International Science and Technology Cooperation (acronym: CAISTC).
Article 2 Nature
This Association is a national non-government and non-profit-making scientific organization with a status of legal person of the Peoplefs Republic of China.
Article 3 Mission and objective
1) To adhere to the reform and open-door policies;
2) To abide by the Constitution of the Peoplefs Republic of China, laws and regulations, policies of the government and social ethics;
3) To promote scientific and technological cooperation between China and various countries and regions in the world for the purpose of serving Chinafs modernization programme and enhancing the friendship among scientists of the international science and technology community.
Objective:
In the context of economic globalization and growing integration of science and technology with economic development, CAISTC is dedicated to promote comprehensive, multi-sectoral and multi-tier international cooperation in science and technology, for the purpose of accelerating Chinafs economic and scientific progress and fostering communication among domestic and foreign scientific, technological and engineering communities, by fully following the policy of gBringing in and Going Globalh and the policy of gRelying on both Government and Non-Government Resourcesh, and by making good use of the resources and the open environment for international cooperation in science and technology. The activities of the association will focus on helping the realization of Chinafs strategy for building a well-off society and on enhancing Chinafs abilities for indigenous innovation, for international science and technology cooperation, and for global competitiveness.
Article 4 Registration
The association is registered with the Ministry of Civil Affairs of the Peoplefs Republic of China.
Article 5 Domicile
The legal domicile of the association is Beijing, the Peoplefs Republic of China.
Chapter 2 Activities
Article 6 Activities of the Association
1) To organize activities related to international scientific and technological cooperation, and develop cooperative relationships with relevant organizations outside China;
2) To carry out soft science research and provide advices to agencies and departments concerned on policy issues related to international cooperation and exchange in the field of science and technology;
3) To provide consulting services to both domestic and foreign organizations on international science and technology cooperation and exchange, technology trading, and the development of cooperative channels;
4) To help Chinese enterprises to promote economic and technological cooperation with partners outside China, and provide enterprises with consulting services on technology, management and investment related to international projects;
5) To organize international science-related symposiums, workshops, exhibitions and organize scientific study tours to countries outside China;
6) To support young scientists to participate in scientific activities outside China;
7) To organize training courses for administrative persons and specialists involved in international scientific cooperation and exchange;
8) To edit and publish journals, books and materials related to international scientific cooperation and exchange;
9) To participate in the evaluation and awarding of foreign experts who have contributed greatly to Chinafs international scientific and technological cooperation and exchange programmes;
10) To organize scientific and friendship-strengthening activities for the community involved in international scientific cooperation activities.
Chapter 3 Membership
Article 7 Types of membership
A member of the association can either be an organization or an individual.
Article 8 Criteria for Applicants
An applicant has to meet the following requirements:
1) Accepting the Statutes of the association;
2) Having the will to join the association on a voluntary basis;
3) Being either an organization or an individual engaged in foreign affairs related to international science and technology cooperation or associated activities.
Article 9 Application Procedures
1) The applicant should submit an application to the association. In case of an individual application, a letter of recommendation is required from a member of the Council of the Association;
2) The application shall be reviewed by either the Standing Committee of the Council or the Executive Office of the association authorized by the Standing Committee, and then sent to the members of the Standing Committee in charge of the daily operation of the association C the President, or the Vice Presidents, or the Secretary-General -- for approval;
3) The Executive Office with the authorization of the Standing Committee shall issue a certificate of membership and a notice of acceptance;
4) The payment of the first annual membership dues shall constitute formal recognition of the membership.
Article 10 Rights of the Members
1) To elect or be elected and to vote;
2) To enjoy the privilege of participating in activities organized by the association;
3) To enjoy the privilege of getting access to the services provided by the association;
4) To comment and make suggestions on the performance and the work of the association;
Article 11 Obligations of the Members
1) To implement the decisions of the association;
2) To maintain the lawful rights and interests of the association;;
3) To fulfill the tasks assigned by the association;
4) To provide information and materials which are of relevance to the association;
5) To pay membership dues as required by the regulations concerned;
Article 12 Withdrawal from the Association
1) Withdrawal from the association can be done on a voluntary basis;
2) Submit a written application for withdrawal and return the membership certificate;
3) Any member who fails to pay the membership dues or to participate in the associationfs activities without justified reasons for 3 successive years are considered as having given up membership automatically.
Article 13 Removal from the Associationfs Rolls
Members who have seriously violated the Statutes of the association shall be removed from the association, subject to the approval of the Standing Committee of the Council.
Chapter 4 Organization Structure, Generation and Recall of Officers
Article 14 The supreme authority of the association is the General Assembly. The functions and powers of the General Assembly are:
1) To formulate and amend the Statutes;
2) To elect and recall the members of the Council;
3) To review the work report and the financial report of the Council;
4) To make decisions on all important issues related to the association;
5) To determine the issue related to the termination of the association.
Article 15 Presence of at least two-thirds of the total members is required to convene the General Assembly, and the adoption of resolutions shall require at least a majority of over two-thirds of the votes cast to be in favor the resolution.
Article 16 The General Assembly shall meet every four years. To hold the General Assembly before or after its normally scheduled date shall be subject to the approval of the Standing Committee of the Council and should be put on file at the registration agency.
Article 17 Functions and powers of the Council include:
1) To execute the decisions of the General Assembly;
2) To elect and recall the President, the Vice Presidents and the Secretary- General of the association;
3) To elect members of the Standing Committee of the Council;
4) To invite Honorary President and Senior Advisors;
5) To prepare and organize the General Assembly;
6) To review reports of the Standing Committee of the Council on the performance and the financial situation of the association;
7) To make decisions on other important issues.
Article 18 Presence of at least two-thirds of its members is required to convene a meeting of the Council, and the adoption of resolutions shall require at least a two-thirds majority of the votes cast to be in favor of the resolution.
Article 19 The Council meeting takes place annually. In special cases, a meeting shall be convened through correspondence.
Article 20 The association creates a Standing Committee of the Council, and the number of the members of the Standing Committee shall not be more than one-third of the number of the Council members. The Standing Committee is responsible to the Council, and during the interval between the meetings of the Council, it discharges the functions and powers of the Council.
Article 21 Functions and powers of the Standing Committee of the Council
1) Review the Annual Work Summary Report and the Annual Work Plan of the association;
2) Report to the Council on its work;
3) Make decisions on the appointment of Deputy Secretary-Generals;
4) Make decisions on the establishment of executive office, branches, representative organs and entities;
5) Review applications for membership.
Article 22 Presence of at least two-thirds of its members is required to convene a meeting of the Standing Committee of Council, and the adoption of resolutions shall require at least a two-thirds majority of the votes cast to be in favor of the resolution.
Article 23 The meeting of the Standing Committee of the Council takes place every two years. In special cases, a meeting shall be convened through correspondence.
Article 24 he President, the Vice Presidents and the Secretary-General of the association are required:
1) To possess good moral integrity and spiritual quality;
2) To be influential in the business areas of the association;
3) To be under the age of 70;
4) To be healthy and capable of discharging routine duties;
5) To have never been punished with the deprival of political rights for any civil negligence or civil criminal cases;
6) To have the ability for complete civil behavior.
Article 25 The President, the Vice Presidents and the Secretary-General of the association, in case of exceeding the age limit, shall be allowed to remain in post with the approval of the Council, and it has to be put on file at the registration agency.
Article 26 The term of office for the President, the Vice presidents and the Secretary-General is 4 years and they shall serve no more than two terms.
Article 27 The President is the legal representative of the association. The Vice Presidents or the Secretary-General shall serve in that capacity in special cases and it shall be put on record at the registration agency. The legal person of the association shall not concurrently serve as legal person of other social organizations.
Article 28 Functions and powers of the President and the Vice President
1) To convene and chair meetings of the General Assembly, the Council and the Standing Committee of the Council;
2) To monitor and supervise the implementation of the resolutions adopted by the General Assembly, the Council and the Standing Committee of the Council;
3) To sign important documents on behalf of the association.
4) Make proposals on and chair the meetings for reviewing the development policy and work plan of the association;
5) Chair or be present at key activities of the association;
6) The Vice President assists the President in fulfilling his or her functions and exercise powers.
Article 29 Functions and Powers of the Secretary-General
1) To be in charge of the daily operation of the executive office, and organize the implementation of the annual work plans of the association;
2) Guide and coordinate operational activities of the branches, representative offices and entities;
3) Recommend candidates of the Deputy Secretary-General and heads of the branches, representative offices and entities;
4) Make decisions on the employment and dismissal of full-time staff members of the executive office, representative offices and entities;
5) To handle other routine issues.
Article 30 The full-time staff members of the association will be employed through the process of selection among candidates. The salary, insurance and other welfare benefits for the full-time staff members of the association shall follow relevant regulations for the employees at the state-run institutions.
Chapter 5 Principles of Management and Use of Financial Resources and Assets
Article 31 The sources of funding of the association include:
1) Membership dues;
2) Social contributions;
3) Funds from project contracts with the government;
4) Income from approved social services;
5) Interests;
6) Other lawful incomes.
Article 32 The association charges membership dues to all members.
Article 33 The income of the association shall be used for activities as stipulated in the Statutes and shall not be distributed to its members.
Article 34 The association creates a strict financial management system to ensure the legality, authenticity, accuracy and integrity of the accounting documents;
Article 35 The association shall employ qualified accountants. Accountants shall receive regular financial examination and accounting supervision. When making a transfer or leaving the post, the leaving accountant shall be required to complete the turning-over procedures with the successor.
Article 36 The management of the assets of the association shall follow the financial management regulations and be under the supervision of the General Assembly. The assets from social or government contribution shall be subject to the examination and supervision of auditing institutions, and make the conclusion accessible to the public.
Article 37 In case of a change of the management team or the legal representative of the Association, financial auditing shall be carried out by the registration agency prior to the change.
Article 38 The assets and properties of the association shall not be annexed and misappropriated by any organization or individual.
Chapter 6 Procedures for Statutes Amendment
Article 39 Any amendment of the Statutes shall first be discussed within the Council and then submitted to the General Assembly for review and adoption.
Article 40 Any amendment of the Statutes shall not become effective prior to the approval by the registration agency within 15 days after the adoption by the General Assembly.
Chapter 7 Termination Procedure and Assets Disposition
Article 41 When it is necessary to nullify the association, due to reasons such as self-dissolution, separation and merger, it is the responsibility of the Council or the Standing Committee of the Council to make a proposal on the termination of the association.
Article 42 The resolution on the termination of the association shall be subject to the adoption by the General Assembly and the approval of the registration agency.
Article 43 Prior to the termination of the association, a special task group shall be set up to clear the accounts according to the financial management regulations. The task group shall clear the financial claims and debts, and handle the aftermath of the termination. During the period of clearance, activities other than those relevant to the clearance shall be suspended.
Article 44 The termination of the association shall become effective upon the cancellation of registration at the registration agency.
Article 45 The remaining assets of the association after termination shall be used to support activities related to the mission of the Association under the supervision of the registration agency.
Chapter 8 Appendixes
Article 46 The Statutes were adopted by the 4th General Assembly held on 26 September 2006.
Article 47 The right of interpretation for the Statutes rests with the Council of the association.
Article 48 The Statutes shall become effective from the date of approval by the registration agency.
